U3A VALL DEL POP – ESTATUTOS

CAPITULO I.
DENOMINACIÓN, DOMICILIO, ÁMBITO, FINES Y ACTIVIDADES

ART. 1º DENOMINACIÓN

Con la denominación de ASOCIACIÓN SOCIAL DE LA TERCERA EDAD DE VALL DEL POP se constituye una ASOCIACIÓN careciendo de ánimo de lucro (U3A Vall del Pop. A partir de ahora nombrada la Asociación) NIF: G54387774 - que se acoge a lo dispuesto en la Ley Orgánica 1/2002 de 22 de marzo, reguladora del Derecho de Asociación y al amparo de lo dispuesto en el artículo 22 de la Constitución.

ART. 2º PERSONALIDAD JURÍDICA

La Asociación tiene personalidad jurídica propia y capacidad plena de obrar para administrar y disponer de sus bienes y cumplir los fines que se propone.

ART. 3º DOMICILIO Y ÁMBITO DE ACTUACIÓN

La Asociación establece su domicilio social en Buzon 7, Partida Corbellot, Murla Alicante. 03792
La Asociación realizará principalmente sus actividades en el ámbito local de la Vall del Pop, sin perjuicio de actuar fuera de este ámbito en las ocasiones que se presenten.

ART. 4º FINES

La existencia de esta Asociación tiene como fines:

1) Facilitar, por medio de un aprendizaje conjunto, los intereses culturales e intelectuales de los socios.
2) Enriquecer las vidas de los socios al promover y compartir los conocimientos y las experiencias entre los mismos.
3) Animar a los socios a desarrollar su potencial intelectual, cultural y social a través de actividades formales y de recreo.

Todo ello mediante la impartición de clases o grupos de diversas materias por parte de miembros de la Asociación a otros asociados: dichas materias podrían ser, como ejemplo enunciativo, pero no restrictivo: lengua española, historia, fotografía, informática, jardinería, viajes, bridge, yoga, meditación y arte.

 

ART. 5º ACTIVIDADES

Para el cumplimiento de los fines enumerados en el artículo anterior se podrían realizar las siguientes actividades:

a) Reuniones de los asociados en grupos pertinentes, grupos de estudio, conferencias, coloquios, viajes, excursiones o visitas culturales.
b) Obtener los recursos necesarios para cumplir los fines.
c) Informar a los asociados de las actividades y anunciarlas para dar conocimiento la asociación.
d) Impartir clases de diversas materias, como ejemplo enunciativo, pero no restrictivo, lengua española, historia, fotografía, informática, jardinería, viajes, bridge, yoga, meditación y arte.

 

 

CAPÍTULO II.  
LOS ASOCIADOS

ART. 6º CAPACIDAD

Podrán formar parte de la Asociación todas las personas físicas y jurídicas que, libre y voluntariamente, tengan interés en el desarrollo de los fines de la Asociación con arreglo a los siguientes principios:
a) Las personas físicas con capacidad de obrar y que no están sujetas a ninguna condición legal para el ejercicio del derecho.
b) Las personas que tienen más de 45 años.
c) Los menores no emancipados de más de catorce años de edad, deben contar con el consentimiento documentalmente acreditado, de las personas que deban suplir su capacidad.

Deberán presentar una solicitud por escrito al órgano de representación, y éste resolverá en la primera reunión que celebre; si el solicitante se ajusta a las condiciones exigidas en los estatutos, el órgano de representación no le podrá denegar la admisión.
La condición de asociado es intransmisible.

 

ART. 7 DERECHOS DE LOS ASOCIADOS

Los derechos que corresponden a los asociados son los siguientes:
a) A participar en las actividades de la Asociación y en el órgano de representación, a ejercer el derecho de voto en persona o a través de una delegación autorizada cuando sea necesario, así como a asistir a las asambleas generales, de acuerdo con los Estatutos. Para poder ser miembro de los órganos de representación es requisito imprescindible ser mayor de edad, estar en pleno uso de los derechos civiles y no estar incurso en los motivos de incompatibilidad establecidos en la legislación vigente.
b) A ser informados acerca de la composición del órgano de representación de la Asociación y de su estado de cuentas y del desarrollo de su actividad. Podrán acceder a toda la información a través del órgano de representación o los medios electrónicos.
c) A ser oído con carácter previo a la adopción de medidas disciplinarias contra él y a ser informado de los hechos que den lugar a tales medidas, debiendo ser motivado el acuerdo que, en su caso, imponga la sanción.
d) A impugnar los acuerdos de los órganos de la Asociación que estime contrarios a la ley o a los Estatutos.
e) A conocer los Estatutos y los reglamentos y normas de funcionamiento aprobados por los órganos de la Asociación. Asimismo tendrán derecho a que se les facilite copia de los Estatutos vigentes y del Reglamentos de Régimen Interno de la Asociación, si existiese.
f) A consultar los libros de la Asociación.

ART. 8 DEBERES DE LOS ASOCIADOS

Los asociados:

a) Tendrán acceso a los medios electrónicos.
b) Compartir las finalidades de la Asociación y colaborar para consecución de las mismas.
c) Pagar las cuotas, derramas y otras aportaciones que, con arreglo a los Estatutos, puedan corresponder a cada socio.
d) Cumplir el resto de obligaciones que resulten de las disposiciones estatutarias.
e) Acatar y cumplir los acuerdos válidamente adoptados por el órgano de gobierno de la Asociación.

 

ART. 9 CAUSAS DE BAJA

Son causa de baja en la Asociación cualquier de los siguientes:

a) La propia voluntad del interesado, sin que éste pueda recuperar las cuotas de pertenencia a la Asociación que hubiera satisfecho.
b) No satisfacer las cuotas fijadas si dejará de hacerlo durante 3 meses consecutivos.

 

ART. 10º RÉGIMEN SANCIONADOR  

La separación de la Asociación de las personas asociadas por motivo de sanción tendrá lugar cuando cometan actos que los hagan indignos de seguir perteneciendo a aquella. Se presumirá que existe este tipo de actos:
a) Cuando deliberadamente la persona asociada impida o ponga obstáculos al cumplimiento a los fines de la Asociación.
b) Cuando intencionadamente obstaculice el funcionamiento del órgano de representación de la Asociación.
En cualquier caso, para la imposición de la sanción de separación por parte del órgano de gobierno, será necesario la tramitación de un expediente disciplinario instruido por órgano diferente al competente para resolverlo y que garantice los derechos de las personas asociadas a las que se instruye el procedimiento a ser informadas de la acusación y a formular alegaciones frente a la misma así como a la notificación de la Asamblea General. La decisión sancionadora será motivada. El plazo de prescripción de las infracciones y sanciones será de 3 años.

 

CAPÍTULO III
LA ASAMBLEA GENERAL

ART. 11º LA ASAMBLEA GENERAL

La Asamblea General es el órgano supremo de gobierno de la Asociación, integrado por los asociados por derecho propio irrenunciable y en igualdad absoluta, que adopta sus acuerdos por el principio mayoritario de democracia interna.
Todos los asociados quedarán sujetos a los acuerdos de la Asamblea General, incluso los ausentes, los disidentes y los que aun estando presentes se hayan abstenido de votar.

ART. 12º REUNIONES DE LA ASAMBLEA

La Asamblea General se reunirá en sesión ordinaria como mínimo una vez al año durante los primeros cuatro meses y dicha reunión se denominará Asamblea General Ordinaria Anual.

La Asamblea General se podrá reunir varias veces durante el año, según las convocatorias del Órgano de Representación.

La Asamblea General se reunirá con carácter extraordinario siempre que lo considere necesario el Órgano de Representación o a requerimiento de un número de asociados que represente, como mínimo un diez por ciento de la totalidad y se denominará Asamblea General Extraordinaria.

ART. 13º CONVOCATORIA DE LAS ASAMBLEAS

Las convocatorias de todas las Asambleas Generales se harán por medios electrónicos.

Los anuncios de una convocatoria, tanto ordinaria como extraordinaria, se colocará en los lugares de costumbre con veintiún días de antelación como mínimo. Siempre que sea posible se convocará individualmente a todos los asociados. La convocatoria expresará el día, la hora y el lugar de la reunión, así como también el orden del día.

Todas las reuniones de la Asamblea General las dirigirán el Presidente y el Secretario.

Es Secretario redactará el Acta de cada reunión que reflejará un extracto de las deliberaciones, el texto de los acuerdos que se hayan adoptado y el resultado numérico de las votaciones donde corresponda. Al comienzo de cada reunión de la Asamblea General se pedirá la aprobación del Acta de la reunión anterior que habrá sido distribuido anteriormente.

ART. 14º COMPETENCIAS Y VALIDEZ DE LOS ACUERDOS

(Ai) Una Asamblea General, tanto ordinaria como extraordinaria, quedará constituida válidamente en primera convocatoria con la asistencia de un mínimo de un tercio de los asociados presentes o representados; y en segunda convocatoria, sea cual sea el número de ellos, se tendrá que celebrar media hora después de la primera y en el mismo lugar.

(Aii) Los acuerdos se tomarán por mayoría simple de los asociados presentes o representados, cuando los votos afirmativos superan a los negativos.

No obstante, requerirán mayoría cualificada de las personas presentes o representadas, que resultará cuando los votos afirmativos superen la mitad de los asociados presentes o representado, los acuerdos relativos a disolución de la Asociación, modificación de los Estatutos, disposición o enajenación de bienes siempre que se haya convocado específicamente con tal objeto la asamblea correspondiente.

(B) En las reuniones de la Asamblea General, corresponde un voto a cada miembro de la Asociación.

(C) Son competencia de la Asamblea General:

     a) Aprobar, en su caso, la gestión del Órgano de Representación
     b) Examinar y aprobar o rechazar los presupuestos anuales de ingresos y gastos, así como la Memoria Anual de actividades.
     c) Establecer las líneas generales de actuación que permitan a la Asociación cumplir sus fines.
     d) Disponer todas las medidas encaminadas a garantizar el funcionamiento democrático de la asociación.
     e) Fijar las cuotas ordinarias o extraordinarias.
     f) Elegir y destituir a los miembros del Órgano de Representación.
     g) Ratificar las altas de asociados o asociadas acordadas por el órgano de representación y acordar con carácter definitivo las bajas de las mismas.
     h) Constitución de federaciones e integración en ellas.
     i) Solicitud de declaración de utilidad pública.
     j) Disolución de la Asociación
     k) Adoptar y modificar los estatutos.
     l) Disposición y enajenación de bienes.
     m) Aprobar el Reglamento de Régimen Interno de la Asociación.
     n) Cualquier otra que no corresponda a otro órgano de la Asociación.

 

CAPÍTULO IV.  
EL ÓRGANO DE REPRESENTACIÓN

ART. 15º COMPOSICIÓN DEL ÓRGANO DE REPRESENTACIÓN

La Asociación la regirá, administrará y representará el Órgano de Representación formado por el Presidente, el Secretario, el Tesorero y un mínimo de cuatro asociados elegidos.

La elección de los miembros del Órgano de Representación será por voto libre de los asociados en la Asamblea General, a menos que la mayoría de los socios deseen que el sufragio sea secreto. Las candidaturas serán abiertas, es decir, cualquier miembro podrá presentarse, siendo requisitos imprescindibles: ser mayor de edad, estar en pleno uso de los derechos civiles y no estar incurso en los motivos de incompatibilidad establecidos en la legislación vigente.

El orden de elección será de Presidente, Secretario, Tesorero seguidos por los otros asociados.

Los cargos de Presidente, Secretario y Tesorero deben recaer en personas diferentes.

No hay ningún cargo del órgano de representación que sea remunerado. Los nombrados tendrán derecho a que se les reembolsen los gastos razonablemente incurridos en el ejercicio de su cargo, debiendo autorizarse dicho reembolso por el Presidente, o, en caso de gastos incurridos por este, deberán ser autorizados por el Tesorero.

ART 16º DURACIÓN DEL MANDATO EN EL ÓRGANO DE REPRESENTACIÓN

Los miembros del Órgano de Representación ejercerán el cargo durante un periodo de un año, y podrán ser reelegidos indefinidamente. El cese en el cargo antes de extinguirse el término reglamentario podrá deberse a:

a) Dimisión voluntaria presentada mediante un escrito en el que se razonen los motivos.
b) Enfermedad que incapacite para ejercicio del cargo.
c) Causar baja como miembro de la Asociación.
d) Sanción impuesta por una falta cometida en el ejercicio del cargo.

Las vacantes que se produzcan en el Órgano de Representación se cubrirán en la primera Asamblea General que se celebre. No obstante, el Órgano de Representación podrá contar, provisionalmente, hasta la próxima Asamblea General, con un miembro de la Asociación para el cargo vacante.

ART 17º COMPETENCIAS DEL ÓRGANO DE REPRESENTACIÓN

El Órgano de Representación tiene las responsabilidades siguientes:

a) Ostentar y ejercitar la representación de la Asociación y llevar a término la dirección y la administración de la manera más amplia que reconozca la ley y cumplir las decisiones tomadas por la Asamblea General, y de acuerdo con las normas, las instrucciones y las directrices generales que los estatutos establezcan.
b) Tomar los acuerdos necesarios para la comparecencia ante el gobierno y otros organismos públicos, para el ejercicio de toda clase de acciones legales y para interponer los recursos pertinentes.
c) Resolver sobre la admisión de nuevos asociados, llevando la relación actualizada de todos los asociados.
d) Proponer a la Asamblea General el establecimiento de las cuotas que los miembros de la Asociación tengan que satisfacer.
e) Convocar las Asambleas Generales y controlar que los acuerdos que allí se adopten, se cumplan. En especial y en lo que se refiere a los acuerdos sobre modificación de Estatutos, se notificará al Registro de Asociaciones el contenido de la modificación en el plazo de un mes desde la fecha de celebración de la Asamblea convocada a tal efecto.
f) Presentar el balance y el estado de cuentas de cada ejercicio, que han sido independientemente examinados, a la Asamblea General Ordinaria Anual para que los apruebe, y confeccionar los presupuestos del ejercicio siguiente.
g) Llevar una contabilidad conforme a las normas específicas que permita obtener la imagen fiel del patrimonio, del resultado y de la situación financiera de la entidad, según las normas legales y fiscales.
h) Efectuar el inventario de los bienes de la Asociación.
i) Elaborar la memoria anual de actividades y someterla a la aprobación de la primera Asamblea General Ordinaria Anual subsiguiente.
j) Resolver provisionalmente cualquier caso imprevisto en los Estatutos presentes y dar cuenta de ello en la primera Asamblea General Ordinaria Anual subsiguiente.
k) Cualquier otra facultad que no esté atribuida de una manera específica en estos estatutos a la Asamblea General.
l) Nombrar y cesar miembros honorarios de la Asociación.

ART. 18º REUNIONES DEL ÓRGANO DE REPRESENTACIÓN

El Órgano de Representación, convocado previamente por el Presidente o por la persona que le sustituya, se reunirá en sesión ordinaria con la periodicidad que sus miembros decidan, que no podrá ser superior a dos meses. El Presidente podrá convocar una sesión extraordinaria cuando sea necesaria.

El órgano de representación quedará válidamente constituido con convocatoria previa y un quórum de la mitad más uno de sus miembros presentes.

Los miembros del Órgano de Representación están obligados a asistir a todas las reuniones que se convoquen, pudiendo excusar su asistencia por causas justificadas. En cualquier caso, será necesaria la asistencia del Presidente y el Secretario o de las personas que los sustituyan.

En el Órgano de Representación se tomarán los acuerdos por mayoría simple de votos de los asistentes. En caso de empate, el voto del Presidente será de calidad.

Los acuerdos del Órgano de Representación se harán constar en el acta. Al iniciarse cada reunión del mismo, se leerá el acta de la sesión anterior para que se apruebe.

ART. 19º EL PRESIDENTE

El Presidente de la Asociación también será presidente del Órgano de Representación.
Son propias del Presidente, las siguientes funciones:
a) Las de dirección y representación legal de la Asociación por delegación de la Asamblea General y del Órgano de Representación.
b) La presidencia y la dirección de los debates del órgano de representación.
c) Firmar las convocatorias de las reuniones de la Asamblea General/Extraordinaria y del Órgano de Representación.
d) Visar los documentos y los certificados confeccionados por el Secretario de la Asociación.
e) Las atribuciones restantes propias del cargo y las que le delegue la Asamblea General.
Al Presidente lo sustituirá, en caso de ausencia, un miembro del Órgano de Representación.

ART. 20º EL TESORERO

El Tesorero tendrá como función:
a) la custodia y el control de los recursos de la Asociación
b) la elaboración del presupuesto anual y el balance y liquidación de cuentas a fin de someterlos al Órgano de Representación conforme se determina en artículo 17 de estos Estatutos.
c) Llevar un libro de Caja.
d) Firmar los recibos, cuotas y otros documentos de tesorería.
e) Pagar las facturas aprobadas por el Órgano de Representación, las cuales tendrán que ser visadas previamente por el/la Presidente/a.
f) La disposición de fondos que se determinará en el Art. 25.
g) Facilitar al Órgano de Representación un balance de traspaso firmado y mutuamente acordado entre las partes involucradas, en el caso de un cambiode Tesorero a mitad del período.
h) Las atribuciones restantes propias del cargo.

ART. 21 EL SECRETARIO

El Secretario será responsable por:
a) la documentación de la Asociación,
b) redactar y firmar el acta de todas las reuniones,
c) redactar y autorizar las certificaciones que haya de librar,
d) tener actualizada la relación de los asociados, llevando a este efecto el Libro de Registro de Asociados,
e) las atribuciones restantes propias del cargo

 

CAPÍTULO V.  
EL RÉGIMEN ECONÓMICO

ART. 22º PATRIMONIO INICIAL Y RECURSOS ECONÓMICOS

No existe patrimonio inicial en esta Asociación.
El presupuesto anual será aprobado cada año en la Asamblea General Ordinaria Anual.
El ejercicio económico cerrará el 31 de diciembre de cada año.

Los recursos económicos de la Asociación se nutrirán de:

a) Las cuotas de sus miembros.
b) Las subvenciones oficiales o particulares.
c) Donaciones, herencias y/o legados.
d) Las rentas del mismo patrimonio o bien de otros ingresos que puedan obtener.

ART. 23º BENEFICIO DE LAS ACTIVIDADES DE LA ASOCIACIÓN

Los beneficios obtenidos derivados del ejercicio de actividades económicas, incluidas las prestaciones de servicios, se destinarán exclusivamente al cumplimiento de los fines de la Asociación sin que quepa en ningún caso su reparto entre los asociados ni entre sus cónyuges o personas que convivan con aquellos con análoga relación de afectividad, ni entre sus parientes, ni su cesión gratuita a personas físicas o jurídicas con interés lucrativo.

ART. 24º CUOTAS

Todos los miembros de la Asociación tienen obligación de sostenerla económicamente, mediante cuotas o derramas, de la manera y en la proporción que determine la Asamblea General a propuesta del Órgano de Representación.

La Asamblea General podrá establecer cuotas de ingreso, cuotas periódicas mensuales y cuotas extraordinarias.

ART. 25º ACCESO Y DISPOSICIÓN DE FONDOS

En cualquier cuenta corriente o cuenta de ahorro abierta en un establecimiento de crédito, deben figurar la firma del Presidente, del Tesorero, del Secretario y del Vicetesorero.
Para poder disponer de fondos, serán suficientes dos firmas.
Para el caso de las cuentas corrientes o libretas de ahorro abiertas en establecimientos de crédito con el concepto de “Cuenta de Viajes” deben figurar la firma delPresidente, del Tesorero, del Secretario, del Vicetesorero y del Coordinador de Viajes.
Para poder disponer de fondos, serán suficientes dos firmas.

 

CAPÍTULO VI.
DISOLUCIÓN DE LA ASOCIACIÓN

ART. 26º CAUSAS DE DISOLUCIÓN Y ENTREGA DEL REMANENTE

La Asociación podrá ser disuelta:

a) Si así lo acuerda la Asamblea General convocada expresamente para este fin y con el voto favorable de más de la mitad de los miembros presentes o representadas.
b) Por las causas determinadas en el artículo 39 del Código Civil que describe qué pasaría con los bienes de la Asociación si la constitución no lo proporciona. Los bienes de cualquier asociación disuelta se usarían para aumentar los bienes de una asociación similar en la Municipalidad o Región o Estado.
c) Por sentencia judicial firme.
d) Por baja de las personas asociadas, de forma que queden reducidas a menos de tres.

 

ART. 27º LIQUIDACIÓN

La disolución de la Asociación, abre el período de liquidación, hasta el fin del cual la entidad conservará su entidad jurídica.

Los miembros del Órgano de Representación en el momento de la disolución de la Asociación se convierten en liquidadores, salvo que la Asamblea General designe a otros, o bien los que el juez, en su caso, decida.
Corresponde a los liquidadores:
a) Velar por la integridad del patrimonio de la Asociación.
b) Concluir las operaciones pendientes y efectuar las nuevas que sean precisos para la liquidación.
c) Cobrar cualquier deuda pendiente que se debe a la Asociación.
d) Liquidar el patrimonio de la Asociación ypagar a los acreedores.
e) Aplicar los bienes sobrantes de la Asociación a los fines previstos por los estatutos.
f) Solicitar la cancelación de los asientos en el Registro correspondiente.

En caso de insolvencia de la Asociación, el Órgano de Representación o, si es el caso, los liquidadores han de promover inmediatamente el oportuno procedimiento concursal ante el juez competente.

Si existiese sobrante líquido lo destinará para fines que no desvirtúen el carácter no lucrativo de la Asociación según el artículo 39 del Código Civil.

Los asociados no responden personalmente de las deudas de la Asociación. Los miembros o titulares de los órganos de gobierno y representación, y las demás personas que obren en nombre y representación de la asociación, responderán ante ésta, ante los asociados y ante terceros por los daños causados y las deudas contraídas por actos dolosos, culposos o negligentes.

 

 

CAPÍTULO VII.  
RESOLUCIÓN DE CONFLICTOS

ART. 28º RESOLUCIÓN DE CONFLICTOS

De conformidad con lo dispuesto en el artículo 40 de la Ley Orgánica 1/2002, de 22 de marzo, reguladora del derecho de Asociación, las cuestiones litigiosas que puedan surgir en relación con el tráfico jurídico privado de las asociaciones y de su funcionamiento interno serán competencia de la Jurisdicción Civil.

Los acuerdos y actuaciones de las asociaciones podrán se impugnados por cualquier asociado o persona que acredite un interés legítimo. Los asociados podrán impugnar los acuerdos y actuaciones de las asociaciones que estimen contrarios a los Estatutos, dentro del plazo de cuarenta días a partir de la fecha de adopción de los mismos, instando su rectificación o anulación y la suspensión preventiva en su caso, o acumulando ambas pretensiones por los trámites establecido en la Ley de Enjuiciamiento Civil.

No obstante lo anterior, también podrán resolverse los conflictos de forma extrajudicial mediante arbitraje, a través de un procedimiento ajustado a lo dispuesto por la Ley 60/2003 de 23 de diciembre de Arbitraje, y con sujeción, en todo caso, a los principios esenciales de audiencia, contradicción e igualdad entre las partes.

 

DISPOSICIÓN ADICIONAL

Con carácter subsidiario de los Estatutos de los acuerdos válidamente adoptados por su órgano de representación, en todo cuanto no esté previsto en los presentes Estatutos se aplicará la vigente Ley Orgánica 1/2002, de 22 de marzo, reguladora del Derecho de Asociación y disposiciones complementarias.

CHAPTER 1
NAME, REGISTERED OFFICE, SCOPE , AIMS AND ACTIVITIES
ART. 1. NAME

Under the name of ASOCIACIÓN SOCIAL DE LA TERCERA EDAD DE VALL DEL POP, a non-profit ASSOCIATION ( U3A Vall del Pop. Referred now as the Association) NIF N0: G54387774 – is hereby formed in accordance with the provisions of Organic Law 1/2002, of 22 March, on the Right of Association, and in conformity with Art.22 of the Spanish Constitution.

ART. 2. LEGAL PERSONALITY

The Association has its own separate legal personality with full capacity to administer and dispose of its assets and to accomplish the aims for which it is set up.

ART. 3. REGISTERED OFFICE AND SCOPE OF ACTIVITY

The Association shall have its registered office at Buzon 7, Partida Corbellot, Murla 03792, Alicante.
The activities of the Association will be conducted mainly within the local area of Vall del Pop, but they may extend beyond this area when occasion arises.

ART. 4. AIMS

The aims for which this Association exists are:
1. To foster the cultural and intellectual interests of its members by means of collective educational activities.
2. To enrich the lives of its members by promoting the sharing of their knowledge and experience.
3. To encourage members to develop their intellectual, cultural and social potential through formal and recreational activities.
All the above will be accomplished through the organization of classes or study groups in different subjects to be offered by members of the Association to other members: such subjects could include, by way of illustration and without limitation: Spanish language, history, photography, computer skills, gardening, travel, bridge, yoga, meditation and art.

ART. 5. ACTIVITIES

For the accomplishment of the aims described in the preceding article, the following activities may be conducted.
a) Meetings of members in appropriate groups, study groups, lectures, talks, trips, excursions or cultural visits.
b) Acquisition of resources necessary for the fulfilment of its objects .
c) Informing members of its activities and publicising them in order to make the Association more widely known.
d) Organizing classes in different subjects, by means of illustration and without limitation Spanish language, history, photography, computer skills, gardening, travel, bridge, yoga, meditation and art.

 

CHAPTER II
MEMBERS

ART. 6. ELIGIBILITY

Membership of the Association is open to any individuals who are freely and voluntarily interested in furthering the aims of the Association, in accordance with the following principles:
a) Individuals with capacity to act and who are not subject to any legal restraint on the exercise of such right.
b) Individuals must be a minimum of 45 years.
A written application must be submitted to the Committee which will decide thereon at its next meeting; provided the applicant meets the conditions established in the Constitution.
The Committee reserves the right to refuse membership.
Membership is non-transferable.

ART. 7. RIGHTS OF MEMBERS

Members shall have the following rights:
a) To participate in the activities of the Association and in its Committee, to exercise the right to vote in person or by proxy where applicable and to attend the General Assembly, in accordance with the Constitution. To be eligible for election to the Committee it will be indispensable to be of legal age, to enjoy the full exercise of one’s civil rights and not to be subject to any of the grounds of incompatibility established in the legislation currently in force.
b) To be informed of the composition of the Committee of the Association, as well as of its financial situation and the conduct of its activity. Members may access all this information through the Committee or electronic media.
c) To be granted a hearing before any disciplinary measures are taken against them and to be informed of the facts giving rise to such measures. Any decision to impose a sanction must give the reasons justifying it.
d) To oppose any resolutions of the bodies of the Association which they believe to be contrary to the law of the Constitution.

ART. 8. DUTIES OF MEMBERS

Members shall have
a) Access to electronic media.
b) Share the aims of the Association and to help accomplish the same.
c) Pay the subscriptions, extra contributions and other amounts due from each member in accordance with the Constitution
d) Fulfil any other obligations arising under the Constitution
e) Accept and comply with the resolutions validly adopted by the Association’s Committee

ART. 9. LOSS OF MEMBERSHIP

Membership of the Association will terminate for any of the following reasons:
a) By the member’s own decision. A withdrawing member may not recover the membership subscriptions paid to the Association.
b) Failure to pay the agreed subscriptions for a period of three consecutive months.

ART. 10. PENALTIES

Members may be penalised by expulsion from the Association if they commit acts making them unworthy of continuing to be members. Such acts will be deemed to be committed:
a) Where the member deliberately prevents or obstructs the accomplishment of the aims of the Association.
b) Where he or she in any way wilfully obstructs the functioning of the Committee of the Association. In any case to effect expulsion it will be necessary to open a disciplinary file that includes a hearing of the affected member.

 

CHAPTER III
THE GOVERNING BODY

ART. 11. GENERAL ASSEMBLY

The General Assembly is the supreme governing body of the Association, is made up of all the members in their own inalienable right and on a footing of absolute equality, and adopts its resolutions on a majority or internal democracy basis.
All the members are bound by the resolutions of the General Assembly, including absentees, dissenters and those who, although present, abstain from voting.

ART. 12. HOLDING OF MEETINGS

A General Assembly shall be held at least once a year, during the first 4 months and shall be called The Annual General Meeting. (“AGM”)
The General Assembly may hold a number of meetings during the year, the timing of which shall be determined by the Committee.
Other meetings may be held if considered necessary by the Committee or if requested by a minimum of ten per cent of the membership, as defined at the date of the request, and shall be called an Extra Ordinary General Meeting (“EGM”)

ART. 13 NOTICE OF GENERAL ASSEMBLIES

Notice of all General Assemblies shall be given by electronic media.
The announcement containing the notice for an AGM or EGM shall be displayed in the customary places at least twenty-one days in advance. Whenever possible, the notice shall be sent to all the members individually. The notice shall specify the date, time and place of the meeting, as well as the agenda.
All meetings shall be conducted by the President and the Secretary.
The Secretary shall draw up the Minutes of each meeting, which shall contain an extract of the proceedings, the text of the resolutions adopted and the numerical outcome of the voting where applicable.
At the beginning of each meeting, approval shall be sought for the Minutes of the previous meeting which have already been distributed.

ART. 14. RESPONSIBILITIES OF THE GENERAL ASSEMBLY AND VALIDITY OF ITS RESOLUTIONS

(Ai) An AGM or EGM shall be validly constituted, on first call, if attended by a minimum of one third of the members present in person or by proxy and on second call, regardless of the number of members attending, it shall be held half an hour after the first call and in the same place.
(Aii) Resolutions shall be adopted by a simple majority of the members present in person or by proxy. i.e. where the votes in favour exceed those against.

However a qualified majority (i.e) where the votes in favour exceed one-half of the persons present or represented shall be required for resolutions relating to the dissolution of the Association, the amendments of the Constitution and the allocation or disposal of assets provided the General Assembly in question has been expressly convened for the purpose.
(B) At a General Assembly each member of the Association shall be entitled to one vote.
(C) The General Assembly shall be responsible for:
      a) Approving, if thought fit, the action taken by the Committee
      b) Examining and approving or rejecting the annual income and expense accounts for the year as well as the Annual Report of activities.
      c) Laying down the general action guidelines enabling the Association to accomplish its aims.
      d) Taking all steps designed to ensure the democratic functioning of the Association.
      e) Determining the ordinary or extraordinary subscriptions.
      f) Appointing and dismissing the members of the Committee
      g) Expelling members, upon the proposal of the Committee
      h) Setting up and joining federations.
      i) Applying for a declaration of public utility.
      j) Winding up the Association.
      k) Adopting and amending the Constitution.
      l) The allocation and disposal of assets.

 

CHAPTER IV
THE COMMITTEE

ART. 15. COMPOSITION OF THE COMMITTEE

The Association shall be governed, administered and represented by a Committee made up of the President, the Secretary, the Treasurer and a minimum of four other elected members.
Election to office on the Committee shall be by a free ballot of the members of the General Assembly unless the majority of the members wish to hold a secret ballot. Candidacies shall be open, that is to say, any member satisfying the following indispensable requirements may stand for election, namely, being of legal age, having the full use of his or her civil rights and not being subject to any of the grounds of incompatibility contemplated in the legislation currently in force.
The order of election will be that of the President, Secretary, Treasurer followed by other members.
The offices of President, Secretary and Treasurer must be held by different persons.
None of the offices on the Committee is remunerated. They will be entitled to reimbursed reasonable expenses incurred in the pursuit of their duties. Such re-imbursement shall be authorised by the President or, in the case of expenses incurred by the President, shall be authorised by the Treasurer.

ART. 16. TENURE OF OFFICE ON THE COMMITTEE

The members of the Committee shall hold office for a term of one year and may be re-elected indefinitely. Vacation of their office before the expiration of the regulation term may be due to:
a) Voluntary resignation submitted in writing and stating the reasons.
b) Illness entailing incapacity to discharge the office.
c) Loss of membership of the Association.
d) A penalty imposed for a fault committed in the discharge of the office.

If a position becomes vacant on the Committee it shall be filled at the next General Assembly. The Committee may, however, provisionally appoint a member of the Association to fill the vacant office until the next General Assembly.

ART. 17. POWERS OF THE COMMITTEE

The Committee shall have the following powers:
a) To hold and exercise the representation of the Association, to conduct the management and administration to the fullest extent recognized by law and to carry out the decisions adopted by the General Assembly in accordance with the rules, instructions and general guidelines laid down by the Constitution
b) To adopt the necessary resolutions to appear before any public agencies to exercise all manner of legal actions and to lodge the pertinent appeals.
c) To resolve as to the admission of new members, and to keep an updated list of all the members.
d) To propose to the General Assembly the subscriptions to be paid by the members of the Association.
e) To convene the General Assemblies and ensure that the resolutions adopted thereby are carried out. In particular, as regards resolutions relating to the amendment of the Constitution, the text of the amendment shall be notified to the Register of Associations within one month from the date on which the Meeting convened for the purpose was held.
f) To submit to the Annual General Meeting (“AGM”) for approval an independently examined balance sheet and statement of accounts for each year and to draw up the budgets for the following year.
g) To keep the accounts in accordance with proper standards faithfully reflecting the capital, income and expenses and financial situation of the Association, in compliance with legal and fiscal requirements
h) To keep an inventory of the assets of the Association.
i) To draw up the annual report of activities and submit the same to the following Annual General Meeting (“AGM”) for approval.
j) To adopt a provisional decision on any matter not contemplated in the Constitution and report to the next Annual General Meeting.(“AGM”).
k) Any other power not specifically vested by the Constitution at the General Assembly.
l) To appoint and remove honorary members of the Association.

ART. 18. MEETINGS OF THE COMMITTEE

The Committee previously convened by the President or acting President, shall hold a Committee Meeting as often as its members decide but no less frequently than every two months.
The President may call an Extra Ordinary Committee meeting as and when appropriate.
The Committee shall be validly constituted if due notice has been given and a quorum of one-half plus one of its members is present.
The members of the Committee are required to attend all the meetings convened but may excuse their attendance on justified grounds. In any event, the attendance of the President and Secretary, or their substitutes, shall be necessary.
The decisions of the Committee shall be adopted on the vote of a simple majority of those attending. In the event of a deadlock, the President shall have a casting vote.
The resolutions of the Committee shall be written up in the minutes. At the commencement of each meeting the minutes of the previous meeting shall be read out for approval or correction.

ART. 19. THE PRESIDENT

The President of the Association shall also be the President of the Committee
The President shall have the following responsibilities:
a) The management and legal representation of the Association, by delegation of the General Assembly and of the Committee.
b) Chairing and leading the discussions of the Committee.
c) Signing the notices convening the General Assembly and the meetings of the Committee.
d) Countersigning the minutes and resolutions drawn up by the Secretary of the Association.
e) All such other duties as pertain to the office as well as those delegated to the President by the General Assembly.
The President shall be substituted in the event of absence, by a member of the committee, who shall deputise for the President in his/her absence

ART. 20. THE TREASURER

The Treasurer shall be responsible for:
a) Custody and control of the funds of the Association.
b) Drawing up the budget, the balance sheet and the statement of accounts for submittal to the Committee as provided in Art. 17 of the Constitution.
c) Keeping proper accounting records.
d) Signing receipts, subscriptions and other cash documents.
e) Paying the invoices approved by the Committee which must be previously countersigned by the President.
f) Funds which will be drawn upon in the manner determined in ART 25. g) The Treasurer to provide the Committee with a signed mutually agreed handover/takeover balance between the parties concerned, in the event of a mid term change of Treasurer.
h) All such other duties as pertain to the office.

ART. 21. THE SECRETARY

The Secretary shall be responsible for:
a) The documentation of the Association.
b) Drawing up and signing of the minutes of all meetings.
c) Preparing and certifying any certificates required to be issued.
d) Maintaining and keeping up to date the register of the members.
e) All such other duties as pertain to the office.

 

CHAPTER V
FINANCES

ART. 22. INITIAL CAPITAL AND FINANCIAL RESOURCES

There is no initial capital in this association.
The annual budget shall be approved each year at the Annual General Meeting.(“AGM”)
Each financial year shall end on the 31st December.

The financial resources of the Association shall comprise:
a) The members’ subscriptions.
b) Official or private subventions.
c) Donations, inheritances and/or legacies.
d) The yield produced by the capital, or any other income it may obtain.

ART. 23. PROFIT ON ACTIVITIES

The profit obtained from the conduct of economic activities, including the furnishing of services, shall be applied exclusively to the accomplishment of the aims of the Association, and may in no case be distributed to the members, or to their spouses or persons cohabiting with them in a similar relationship, or to their relatives, or gratuitously assigned to individuals or legal entities operating for gain.

ART. 24. SUBSCRIPTIONS

All the members are required to support the Association financially by the payment of subscriptions or extra contributions, in such manner and proportion as is determined by the General Assembly upon the proposal of the Committee
The General Assembly may establish admission fees, periodical monthly subscriptions and extraordinary contributions

ART. 25. WITHDRAWAL OF FUNDS

Any account opened at credit institutions shall record the signature of the President, the Treasurer, the Secretary and Assistant Treasurer.
For the withdrawal of funds, two signatures shall be sufficient.
The Travel Group account opened at credit institutions shall record the signature of the President, the Treasurer, The Secretary, Assistant Treasurer and the Travel Co-ordinator.
For withdrawal of funds two signatures are needed.

 

CHAPTER VI
DISSOLUTION OF THE ASSOCIATION

ART. 26. CAUSES OF DISSOLUTION

The Association shall be dissolved:
a) If so resolved by the General Assembly expressly convened for this purpose, with the vote in favour of more than one-half of the members present in person or by proxy.
b) Due to the causes contemplated in Art. 39 of the Civil Code which describes what would happen to any assets of the Association should the Constitution not provide for this. The assets of any dissolved association would be used to increase the assets of a similar association in the Municipality or Region or State.
c) By a final judicial decision.

ART. 27. LIQUIDATION AND APPLICATION OF SURPLUS

The dissolution of the Association will give rise to the liquidation period, until the completion of which the Association will retain its legal entity.
The members of the Committee at the time of dissolution will become the liquidators, unless the General Assembly appoints others, or unless a court decision, if any, directs otherwise.
The liquidators shall be responsible for:
a) Ensuring the integrity of the capital of the Association.
b) Concluding any outstanding transactions and undertaking such new transactions as may be required for the purposes of liquidation.
c) Collecting any amount owed to the association.
d) Liquidating the assets and paying off the creditors.
e) Applying the surplus assets of the Association to the purposes contemplated in the Constitution.
f) Requesting cancellation of the entries on the appropriate Register.
In the event of insolvency of the Association, the Committee or, as the case may be, the liquidators shall immediately apply to a court of competent jurisdiction for the inception of insolvency proceedings.

If any net surplus should remain, it shall be applied to purposes compatible with the non-profit character of the Association and in compliance with ART 39 Civil Code.

Members are not personally liable for the debts of the Association. The members of the Committee and other persons acting for and on behalf of the Association shall be liable to the Association, the members and third parties for any damage caused and any indebtedness incurred as a result of malicious, culpable or negligent actions.

 

CHAPTER VII
SETTLEMENT OF DISPUTES

ART. 28. SETTLEMENT OF DISPUTES

In accordance with the provisions of Art. 40 of Organic Law 1/2002, of 22 March, on the Right of Association, any disputes arising in connection with the private-law activities of the Association and its internal functioning shall fall within the jurisdiction of the Civil Courts.

The decisions and actions of the Association may be challenged by any member or person evidencing a legitimate interest. Members may challenge any resolutions and actions of the Association which they believe to be contrary to the Constitution within forty days from the date of adoption thereof, requesting their rectification or annulment and, where applicable, the provisional suspension thereof, or combining both requests in accordance with the formalities contemplated in the Code of Civil Procedure.

Nevertheless, disputes may also be settled out of court by arbitration proceedings conducted in accordance with the provisions of the Arbitration Act Law 60/2003 dated 23rd December subject to compliance in all cases with the essential principles of hearing, contradiction and equality as between the parties.

 

ADDITIONAL PROVISION

In all matters not contemplated in the Constitution and in the resolutions validly adopted by the Committee of the Association, Organic Law 1/2002, of 22 March, on the Right of Association, and related legal provisions, shall be secondarily applicable.
